About JH refusing to marry CEO Yoo- by this point he has already given up on the company which is why he was able to refuse without worrying about the consequences (he let go of his hopes for the company the moment he gave his blessing to DH and AJ. Finding out that DH was gay, cemented it). AJ was the main reason to refuse but even if AJ wasn't in the picture, control over the company was no longer a priority.
Additionally, initially when Yoo confessed to JH, she didn't mention about the negotiation she had with the grandfather about their marriage. Since JH was trying to forget about AJ at the time, he honestly said that he doesn't have feelings for her but he also was willing to try to "work" it out. It's really complicated because eventhough JH knows that DH is gay, as far as he knows, the wedding is real and his brother is taking advantage of "innocent" AJ. From AJ's side, at worst she will be only breaking her contract with Do Han, but at the same time she knows that JH believes that the marriage is real.

I think the problem here is that both brothers love eachother and have eachother's best interest at heart but they never really listen to what the other has to say. They are wrapped in their own pitiful world that they don't see the bigger picture or the support they actually have (for instance, it's clear AJ and CEO Yoo are both protective of the brothers regardless of their personal feelings but DH is constantly surprised when they do something nice).
